Sådan overvåger bestyrelsen virksomhedens digitale innovation: I en ny rapport fra Deloitte om bestyrelsens vigtigste dagsordener i 2018 fokuseres blandt andet på bestyrelsens overvågning med virksomhedens digitale innovation: Under overskriften ”Exercising oversight of digital innovation How boards can keep pace” gives en stribe forslag til spørgsmål, som bestyrelsen bør stille til direktionen om den digitale innovation. Blandt andet følgende: ”Where can digital technologies yield new opportunities and competitive advantage? How often do our digital innovations result in incremental improvements rather than transformation? How can we leverage digital technologies to develop new, transformative business models? To what extent are the board and company mired in innovation methods oriented toward long-range, capital-intensive projects? How can we learn new about new methods of innovation? Where are the “edges” in our business—areas with the potential for exponential growth? Which edges could provide opportunities for competitors with new digital business models? How can we pre-empt or deflect those competitors? How open are we to possibilities and transformation?”
Forskerne skriver, at ”the truth seems to be that, once relevant confounding factors are accounted for, male and female CEOs earn similar compensation, which is what standard economic theory would suggest and most people would like to see happen in society. We hope the results of our research will raise awareness that CEO gender has no effect on the compensation s/he receives, which is a welcome finding in today’s zeitgeist of gender equality. Of course, whether the gender pay gap exists for other non-CEO top management positions (such as the Chief Financial Officer or the Chief Operating Officer) cannot be answered based on our research and will need to be empirically examined in future research.”
UK: Politikere vil skabe fuld åbenhed om selskaber i britiske skattely om tre år. Engelske The Guardian skri-
ver: ”Britain’s overseas territories will be forced to adopt public registers of company ownership at the end of the decade after the government conceded it would have to support a backbench amendment designed to stem the global flow of “dirty money”. Sir Alan Duncan, a Foreign Office minister, told the Commons that ministers recognised “the majority view in this house” and would not oppose an amendment to the sanctions and anti-money laundering bill from Labour’s Margaret Hodge and the Conservative MP Andrew Mitchell. The retreat was forced on Theresa May’s government after the Speaker rejected a string of government compromise amendments, which would have watered down the disclosure commitment, because they were tabled so late. Afterwards, some of the overseas territories voiced their unhappiness at what had been agreed at Westminster. The Hodge/Mitchell amendment requires the 14 overseas territories, including the financial centres of the British Virgin Islands and the Cayman Islands, to introduce public ownership registers by the end of 2020 or face having them imposed by the UK government.”
Interview: Hvor er UK’s corporate governance på vej hen, ikke mindst efter Brexit: ”In a wide-ranging video interview Paul George talks to Robert Bruce (governance ekspert) about the responses to the recent Corporate Governance Code consultation and areas of challenge in governance generally, what the FRC would like to see more of from strategic reports and information on directors’ responsibilities, what it would like to happen with IFRS post-Brexit, and how the Stewardship Code needs to evolve.
